1. Who these terms are with
These Terms of Use ("Terms") form a binding agreement between you and D-Web Consultants Pvt. Ltd., a private limited company incorporated under the Companies Act, 2013, with its registered office at Dutta House, Ground Floor, 6/1, P.P. Lane, Salkia, Howrah – 711 106, West Bengal, India ("DCPL", "we", "us").
These Terms apply to the websites dweb.co.in, dcplindia.co.in, the DWEBAPP no-code platform, and any feature, page or content we make available through them (together, the "Services").
2. Acceptance
By accessing, browsing or using the Services you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please stop using the Services.
3. Eligibility
You must be at least eighteen (18) years old and capable of entering into a legally binding contract under Indian law. If you are using the Services on behalf of a company, you confirm that you have the authority to bind that company to these Terms.
4. The Services
- The website is an informational marketing site. Anything you read there is for your general information and does not in itself create a commercial relationship between you and DCPL.
- Demos, prototypes and proposals we share with you remain confidential and are owned by DCPL until a separate written engagement says otherwise.
- DWEBAPP — our no-code platform — is provided under the Master Services Agreement or Order Form signed with each paying client. Where those documents conflict with these Terms, the signed engagement document prevails.
5. Acceptable use
You agree not to:
- Use the Services for any unlawful, fraudulent or abusive purpose.
- Attempt to gain unauthorised access to any part of our infrastructure, accounts or data.
- Reverse-engineer, decompile or copy any non-public part of the DWEBAPP platform.
- Scrape, crawl, mass-download or otherwise extract content from the Services except as permitted by our robots.txt.
- Use the Services to send unsolicited communications, malware or harmful code.
- Misrepresent your identity, your company or your authority to act for that company.
We may suspend or terminate your access — or refuse a project enquiry — if you breach any of the above, with or without notice.
6. Intellectual property
The Services, including all text, design, code, graphics, logos, the DWEBAPP brand and the DCPL brand, are owned by DCPL or its licensors and protected by applicable intellectual property laws. You may view, print and share links to public pages for non-commercial purposes. You may not otherwise copy, modify, distribute or republish any part of the Services without our prior written permission.
When we build software for you as part of a paid engagement, the ownership and licensing of the resulting deliverables is governed by the Order Form or Master Services Agreement signed for that project — usually a perpetual licence to your configured tenant, with DCPL retaining ownership of underlying platform code.
7. Content you provide
If you submit information through any form — a contact request, partner application, newsletter signup or otherwise — you confirm that it is accurate and that you have the right to share it. You grant DCPL a worldwide, royalty-free licence to use that information solely for the purpose for which you submitted it (for example, replying to your enquiry) and as further described in our Privacy Policy.
8. Third-party links and embeds
The Services may contain links to or embeds from third-party websites (such as YouTube, podcasts, news outlets and partner sites). We do not control those sites and are not responsible for their content, availability, or practices. Visiting them is at your own risk and subject to their own terms.
9. Disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, DCPL disclaims all warranties — express, implied or statutory — including those of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.
Information shown on the public website (for example, pricing ranges, indicative timelines, comparison tables and case-study figures) is illustrative. The binding terms of any project are those in your signed Order Form.
10. Limitation of liability
To the maximum extent permitted by law, DCPL, its directors, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, business opportunity or goodwill, arising out of or in connection with your use of the Services — even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of these Terms or the website, in the absence of a separate signed contract, will not exceed five thousand Indian Rupees (₹5,000). Where you have a signed engagement with us, the liability cap in that agreement applies instead.
11. Indemnity
You agree to indemnify and hold DCPL harmless from any claim, loss, damage, cost or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) any content you submit through the Services.
12. Changes
We may update these Terms from time to time. The "Last updated" date above always reflects the current version. Material changes will be highlighted on the website and, where appropriate, emailed to active clients and newsletter subscribers. Continued use of the Services after the change date constitutes acceptance.
13. Termination
These Terms remain in force for as long as you use the Services. We may end or restrict your access at any time if we believe you have breached these Terms, threatened the security or stability of the Services, or where required by law. Provisions that, by their nature, should survive termination (intellectual property, disclaimers, limitations of liability, indemnity and governing law) will continue to apply.
14. Governing law & jurisdiction
These Terms are governed by the laws of the Republic of India. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts at Kolkata, West Bengal.
15. Miscellaneous
- If any provision of these Terms is held unenforceable, the rest will remain in full force.
- Our failure to enforce a provision is not a waiver of the right to enforce it later.
- You may not assign these Terms; we may assign them to a successor entity.
- These Terms, together with our Privacy Policy and any signed engagement, constitute the entire agreement between you and DCPL regarding the Services.
